These general terms and conditions of use (hereinafter referred to as the 'Terms of Use') govern your use of the Faro Santander website (hereinafter referred to as the 'Website'), accessible via www.farosantander.com.

Users may contact the Foundation via the general contact form available on the Website, without prejudice to any other channels that may be made available and published from time to time.
 

 

2. PURPOSE AND SCOPE OF APPLICATION

 

These Terms of Use govern access to, browsing of and use of the Website, as well as the features and services that the Foundation makes available to its Users. The Website provides information about the Banco Santander Foundation’s cultural centre, known as Faro Santander (“Faro Santander”), its facilities, exhibitions, activities, events and cultural programme.

 

The Website will also allow users to purchase tickets for certain Faro Santander events, exhibitions or activities; submit enquiries and requests via the forms for the press, organisations, venue bookings or hire, and user support; voluntarily subscribe to newsletters about the Banco Santander Foundation and Faro Santander’s activities; and access links, content or digital platforms belonging to third parties, including social media, websites of authors, contributors, associations or other organisations.

 

Certain features are governed not only by these Terms of Use but also by specific terms and conditions. For example, the purchase of tickets is governed by the General Terms and Conditions of Purchase, which will be made available to the User before the transaction is completed. The processing of personal data is governed by the Privacy Policy, and the use of cookies and similar technologies is governed by the Cookie Policy.

 

3. ACCEPTANCE OF THE CONDITIONS OF USE

 

Accessing and using the Website confers the status of user user upon the person doing so (hereinafter, the “User” or the “Users”). Users must read these Conditions of Use carefully before using the Website. By accessing and browsing the Website, Users agree to be bound by the applicable provisions, although the use of, or subscription to, certain services may require the express acceptance of specific conditions.
 

Where a particular feature requires the User's express acceptance of specific conditions, those conditions will be made available to the User before they carry out the relevant action. In such cases, the specific conditions shall supplement these Conditions of Use and, to the extent that they specifically govern a particular matter, shall prevail over them.
 

The Foundation may amend these Conditions of Use to reflect legal, functional, technical or operational changes, or decisions or recommendations issued by the competent authorities. Any amendments shall take effect upon publication on the Website, unless a later effective date is specified. Where the amendments are substantial, the Foundation shall take reasonable steps to inform the affected Users.

4. ACCESS AND NAVIGATION

 

In general, access to and browsing of the Website are free of charge and do not require prior registration. 

 

The Foundation may, in the future, introduce private areas, user accounts, loyalty programmes or other features subject to prior registration, in which case it will first update these Terms of Use and inform Users of the specific conditions applicable.

 

General browsing of the Website is not subject to a specific minimum age. However, minors must use it under the supervision of their parents, guardians or legal representatives where necessary. 

 

The User shall be responsible for providing the devices, software, internet connection and other technical resources necessary to access and browse the Website.

5. INFORMATION AVAILABLE ON THE WEBSITE

 

The Foundation endeavours to ensure that information relating to Faro Santander, its exhibitions, activities, events, venues and services is accurate, comprehensive and up to date. However, certain information may be subject to change for artistic, organisational, technical, operational or force majeure reasons; amongst other things, dates and times, the programme, participants, artists or speakers, ticket availability, conditions of access, capacity limits, the venues used or the services offered may vary.

 

Where such changes affect a ticket that has already been purchased or a service that has already been contracted, the provisions of the applicable contractual terms and conditions and current legislation shall apply. 

 

Content published on the Website for purely promotional or informational purposes shall not in itself constitute a contractual offer, unless expressly stated otherwise.

6. WEBSITE FORMS

 

The Website may include forms designed to facilitate contact with the Foundation and to initiate the processing of applications relating to Faro Santander. Submitting any such form requires the provision of truthful, accurate and sufficient information, and its use must be in accordance with the specific purpose of each form. The mere submission of a form shall not imply automatic acceptance of the application or the conclusion of a contract, unless expressly stated otherwise

 

6.1. Press contact form

 

The Press Contact Form enables journalists, media organisations and other media professionals to submit enquiries, request information or contact the Foundation's communications team. Submission of the Press Contact Form shall not, in itself, constitute the granting of press accreditation, the reservation of a place, authorisation to access restricted areas, authorisation to take photographs or make recordings, or the granting of any rights to reproduce content, works or facilities.
 

The inclusion of an applicant in a permanent press contact database shall require that such processing is compatible with the information provided and has an appropriate legal basis. The specific conditions applicable to any press accreditation or press activity must be expressly confirmed by the Foundation.

 

6.2. Group Visits Enquiry Form

 

The Group Visits Enquiry Form enables users to request information or initiate arrangements for visits and activities intended for schools, associations, organisations and other groups. Submission of the Group Booking Enquiry Form shall not, in itself, constitute acceptance of the request, guarantee the availability of a particular date and time, the reservation of places, the application of a specific fee, the booking of the activity or the availability of specific services.
 

The Foundation will contact the applicant to process the request and, where applicable, provide information on the applicable requirements and conditions. Where the request relates to minors, the person submitting it must have the necessary legal capacity, authority or authorisations to act on behalf of the group and provide the relevant information. If accessibility arrangements or information are requested, only the data strictly necessary to ensure the proper organisation of the activity should be provided.

 

6.3. Venue Booking Form

 

The venue booking form will enable individuals or legal entities to request information on the availability and conditions of use of the venues at Faro Santander. Submission of the form does not imply acceptance of the request, does not guarantee availability, does not constitute a firm booking, does not entail the conclusion of a contract and does not, in itself, generate a right to use the venue.

 

The Foundation may review the proposed activity and request further information regarding the applicant’s identity, dates and times, number of attendees, technical requirements, set-up and dismantling, additional services, security, insurance and the potential use of trademarks, images or content. The Foundation may accept or reject the application in accordance with objective, organisational, technical, reputational, security or availability criteria. If the application is accepted by the Foundation, the parties shall formalise the relevant contract for the hire, assignment or use of spaces outside the Website.

 

6.4. Customer Support Form

 

The Foundation will make a contact form available to Users to handle enquiries, complaints, claims, incidents and suggestions relating to the Website and the services offered by Faro Santander. The User must provide sufficient, truthful and accurate information so that the request can be identified and processed.

 

Where the enquiry relates to a purchase, the necessary information to identify the transaction must be provided, without disclosing full card details, payment credentials or any other information that has not been expressly requested. The Foundation will endeavour to respond as soon as possible, taking into account the nature and complexity of the request. Enquiries specifically relating to data protection must be submitted via the channels indicated in the Privacy Policy.

 

6.5. Subscription to newsletters

 

Users who wish to do so may complete the form to request informative communications about the Banco Santander Foundation and the activities of Faro Santander. This request constitutes the User’s consent, which shall be voluntary, independent of the use of other services, revocable, and shall not constitute a requirement for browsing the website, purchasing tickets or submitting other forms.

 

The communications sent may be personalised according to the User’s specific characteristics and interests, as described in the Privacy Policy.

 

The User may withdraw their consent or unsubscribe using the mechanism included in the communications or via the channels set out in the Privacy Policy. Withdrawal will not affect the lawfulness of any processing carried out previously.

7. INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS

 

The Foundation is the owner of, or, where applicable, holds the relevant licences for, the intellectual and industrial property rights to the Website, as well as to all content provided on it, including, but not limited to, the Website itself, texts, photographs or illustrations, logos, trade marks, graphics, designs, interfaces, or any other information or content available through it.

 

The foregoing is without prejudice to the intellectual and industrial property rights belonging to artists, authors, photographers, collaborating organisations, organisers, promoters and other third parties whose content, works, images, trade marks or distinctive signs may be displayed on the Website. The inclusion of such elements on the Website shall not imply the transfer or assignment of their rights to the Foundation or to Users beyond the scope provided for in the relevant licences or authorisations.

 

The User’s access to, browsing of and use of the Website does not imply any waiver, transfer, licence or total or partial assignment of these rights by the Foundation. By accessing the Website, the User acquires a right to use the content, services and/or features of the Website whilst using it, and solely for the purpose of enjoying the Website’s features in accordance with these Terms of Use.

When the User provides the Foundation, via the forms or features made available, with documents, photographs, images, texts, logos, trademarks or other materials protected by intellectual property rights, industrial property rights, image rights or any other rights, they declare that they hold the necessary rights, licences, authorisations or legal standing to disclose them and to permit their use for the relevant purpose. The Foundation will only use such materials to the extent necessary to process the enquiry, request or service for which they were provided, unless the User is informed and, where required, additional authorisation is obtained.

 

The User must immediately notify and inform the Foundation of the existence of any content that is unlawful, illegal, contrary to the law or that could constitute an infringement of intellectual and/or industrial property rights of which they become aware, so that the Foundation may take the appropriate measures; such notification must be submitted via the User support form.  Users may also contact the Foundation via any of the channels provided for this purpose on the Website.

 

Similarly, should any User or third party consider that any of the content on the Website infringes their intellectual and/or industrial property rights, or any other rights, they must send a notice to privacidadfundacionbs@gruposantander.com with the following information:

• The claimant’s or their legal representative’s identification details and contact information.
• Documentation proving that the claimant is the holder of the allegedly infringed rights.
• A detailed description of the rights allegedly infringed by the Foundation, as well as their exact location on the Website.
• An express statement by the claimant that the content has been used without the consent of the holder of the allegedly infringed rights.

8. TERMS OF USE FOR THE WEBSITE

 

Accessing or using the Website for illegal or unauthorised purposes, whether or not for financial gain, is not permitted; consequently, the User shall be solely liable for any consequences arising therefrom. In particular, and without the following list being exhaustive, the following is prohibited:

 

            (vii)    using the Website:

• in any way that may cause damage, disruption, inefficiency or malfunction to its operation or to third-party devices;
• for the transmission, installation or publication of any virus, Trojan horse, worm, logic bomb, malicious code or other harmful programmes or files;
• to transmit material for advertising or promotional purposes, including spam, chain emails or similar;
• in a manner that constitutes an infringement of the rights of the Foundation or any third party;
• to collect personal data from other users;
• in an unlawful manner, or contrary to good faith, public morality and/or public order;

 

(vii)    gaining unauthorised access to any part of the Website, to other systems or networks connected to it, to any of the Foundation’s servers, or to the services offered via the Website, through hacking, spoofing, password cracking or any other unlawful means; 

 

(vii)    to carry out any action that causes disproportionate or unnecessary strain on the Website’s infrastructure or on the Foundation’s systems or networks, as well as on the systems and networks connected to the Website itself.

 

(vii)    to modify, copy, reproduce, communicate to the public, adapt or distribute, by any means and in any form, all or part of the content included on the Website for public or commercial purposes without the prior, express and written authorisation of the Foundation or, where applicable, the holder of the relevant rights;

 

(vii)    to remove or alter any copyright notices or other credits identifying the rights holders of the Website’s content, as well as any technical protection measures, digital watermarks or any other protection mechanisms or information incorporated therein.

 

(vii)    to extract any information whatsoever from the Website using any programming technique; and

 

(vii)    to post content on the Website which, in any way:

• is contrary to, disparages or infringes upon the fundamental rights and civil liberties recognised by the Constitution, in international treaties and in other legislation in force;
• induces, incites or promotes (i) criminal, denigrating, defamatory or violent acts, or acts which are, in general, contrary to the law, morality, generally accepted standards of behaviour or public order; or (ii) induces, incites or promotes discriminatory acts, attitudes or thoughts on the grounds of sex, race, religion, beliefs, age or status;
• includes, makes available or permits access to products, elements, messages and/or services that are criminal, violent, offensive, harmful, degrading or, in general, contrary to the law, morality, generally accepted standards of decency or public order;
• is contrary to a person’s honour, personal and family privacy or personal image; or 
• constitutes any form of unsolicited advertising.

 

Any breach by the User of any of the above obligations may result in the Foundation taking the appropriate measures permitted by law and in the exercise of its rights or obligations, as well as the Foundation making the corresponding claims against the User for damages.

9. USER OBLIGATIONS AND RESPONSIBILITIES

 

The User agrees that they may not use the Website in breach of the provisions of these Terms of Use. The User must also: (i) ensure they have all the necessary technical means and requirements to access the Website and make use of the services available through it; and (ii) provide accurate information when completing the forms on the Website with their personal data, and keep this information up to date so that it reflects the User’s actual circumstances at all times. The User shall be solely liable for any false or inaccurate statements made and for any damage caused to the Foundation as a result of the information provided via the Website. 

 

Any breach by the User of any of the above prohibitions shall render the User solely liable for any claim arising as a consequence thereof. Even if no claim is made by a third party, the Foundation reserves the right to prevent the User in question from accessing the Website.

 

The User shall defend, indemnify and hold the Foundation harmless against any loss or damage arising from claims, actions or lawsuits brought by third parties as a result of their use of the Website. Furthermore, the User undertakes to indemnify the Foundation against any loss or damage arising from their use of ‘robots’, ‘spiders’, ‘crawlers’ or similar tools used for the purpose of collecting or extracting data, or from any other action on their part that places an unreasonable burden on the operation of the Website.

 

Access to the services or content provided via the Website shall be at the Users’ sole responsibility.

10. THE FOUNDATION’S RESPONSIBILITIES AND GUARANTEES

 

The Foundation endeavours to keep the Website available, secure and up to date; however, it cannot guarantee the reliability, usefulness or accuracy of all the information contained on the Website.

 

The Foundation and, where applicable, third-party content or service providers accept no liability arising from the content, products or services offered or provided by third parties via the Website.

 

In particular, they accept no liability for any loss or damage arising from:

 

 

(xi)     the continuity of the Website’s content;
 

(xi)     the lack of errors in such content; 
 

(xi)     the absence of viruses, Trojans, worms, logic bombs and/or other malicious or technologically harmful components on the Website or on the server hosting it;
 

(xi)     the lack of usefulness or performance of the Website’s content;
 

(xi)     any malfunctions of the Website caused by any kind of attack on its servers or those of the Foundation’s third-party service providers, as well as any technical or security faults in the system of any such provider that prevent the Website from functioning;

 

(xi)     any technical fault of any kind that hinders, delays or prevents the proper functioning of the Website;
 

(xi)     any damage or loss caused to themselves or to a third party by any person who breaches the terms, conditions and instructions set out by the Foundation on the Website or through the circumvention of security systems;

 

(xi)     interference, interruptions, faults, omissions, telephone faults, delays, blockages or disconnections in the operation of the electronic system, caused by deficiencies, overloads or errors in telecommunications lines and networks, or by any other cause beyond the Foundation’s control;

 

(xi)     unlawful interference through the use of malicious software of any kind and via any means of communication, such as computer viruses or any other;

 

(xi)     improper or inappropriate use of the Website; or

 

(xi)     security or browsing errors caused by a browser malfunction or by the use of outdated versions of the browser.

 

The Foundation declares that it has taken all necessary measures, within its means and in accordance with the state of the art, to ensure the proper functioning of the Website and to minimise system errors, both from a technical perspective and in relation to the content published on the Website. 

 

The Foundation shall not be liable for the accuracy, completeness or timeliness of information published on the Website that originates from sources outside the Foundation, nor for information contained on other websites linked to from the Website.

 

Furthermore, the Foundation shall not accept any liability for the availability, operation, content or services provided by third-party providers whose services are integrated into or accessible via the Website, including, but not limited to, ticketing platforms, payment gateways, social media platforms or other technology providers, without prejudice to any liabilities to which they may be legally subject.

 

The Foundation reserves the right to suspend, modify, restrict or discontinue, either temporarily or permanently, access to, navigation of, use of, hosting of and/or use of the Website’s services, without prior notice, for users who contravene any of the provisions set out in these Terms of Use, without the possibility of claiming compensation on this ground.

 

The Foundation does not guarantee continuous access, nor the correct display or functionality of the elements and information contained on pages linked to the Website, which may be impeded, hindered or interrupted by factors or circumstances beyond its control. The Foundation accepts no liability for any decisions that may be taken as a result of accessing the content or information provided via such linked sites.

 

The Foundation may suspend access to the Website if it detects that the use of the Website or any of the services offered on it contravenes these Terms of Use. 

 

The Foundation accepts no liability for damages of any kind that may arise from the misuse of the Website. Furthermore, the Foundation is exempt from any liability for content and information that may be received as a result of unlawful or improper use of the Website.

11.1. LINKS TO OTHER WEBSITES ON THIS WEBSITE

 

Should the Website display links to other websites via various buttons, links, banners, etc., the Foundation hereby informs you that these are managed directly by third parties, and that it is unable to control or approve all the information, content, products or services provided on other websites to which links may be provided from the Website. Consequently, the Foundation accepts no liability for any aspect relating to any of these websites or platforms, such as, for example, their operation, access, data, information, files, the quality and reliability of their products and services, their own links and/or any of their content in general.
 

In this regard, should the User become aware that the activities carried out via these third-party websites are unlawful or contravene public morality and/or public order, they must immediately notify the Foundation so that it may proceed to disable the link to such sites.
 

In any event, these links shall not imply the existence of any kind of relationship, collaboration or dependency between the Foundation and the party responsible for the external application or website.

 

11.2 LINKS FROM OTHER WEBSITES TO THIS WEBSITE

 

The Foundation does not authorise the creation of a link to the Website from any web pages containing material, information or content that is unlawful, illegal, degrading, obscene or, in general, contravenes the law, public morality or public order, or generally accepted social norms.

 

In any event, links to the Website may be established on other websites, provided that they comply with the following conditions:

• the link must not reproduce the content of the Website or any part thereof in any FORM;
• it is not permitted to create a frame around sections of the Website, nor to modify the Website in any other way;

The Foundation has neither the authority nor the human or technical resources to review, monitor or approve all the information, content, products or services provided by other websites that contain links to the Website. The Foundation accepts no liability whatsoever for any aspect relating to the website that provides such a link to the Website; in particular, but not limited to, its operation, access, data, information, files, and the quality and reliability of its products and services, its own links and/or any of its content in general.


12. USER SUPPORT

 

As the owner of the Website, the Foundation provides Users with a User Support service through which due attention will be given to all enquiries, complaints and suggestions relating to the services offered through the Website. The User Support service may be accessed via the User Support Form or through any other contact channels made available on the Website.
 

The Foundation shall use its best efforts to respond to enquiries and complaints as promptly as possible.
 

The Foundation makes available to Users a User Support Form through which Users may contact the Foundation to report any content that they consider to be contrary to the law, these Conditions of Use and/or the legitimate rights of third parties. If a User becomes aware of any such circumstances, they are requested to notify the Foundation immediately through the aforementioned channels so that the Foundation may review the relevant content and, where appropriate, remove or disable it as soon as reasonably practicable. Users may also use the aforementioned communication channels to submit any other questions relating to the Website and/or the Privacy Policy.

 

13. DATA PROTECTION

In accordance with the provisions of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (hereinafter, “GDPR”) and Organic Law 3/2018 of 5 December on the Protection of Personal Data and the Guarantee of Digital Rights (hereinafter, “LOPDGDD”), all personal data provided whilst using the Website will be processed in accordance with the provisions of the Privacy Policy, which the User must read and, where applicable, accept.


14. GENERAL PROVISIONS

 

The headings of the various clauses are for convenience only and shall not affect, qualify or extend the interpretation of these Conditions of Use.
 

The Foundation reserves the right to amend these Conditions of Use at any time and at its sole discretion. Access to and use of the Website following the entry into force of any amendments or changes to these Conditions of Use shall constitute full and unconditional acceptance thereof.

Accordingly, these Conditions of Use shall remain in force for as long as they are published on the Website and shall remain effective until amended, in whole or in part, at which time the amended Conditions of Use shall enter into force.
 

The Foundation may terminate, suspend or interrupt access to the content of the Website at any time and without prior notice, without Users being entitled to claim any compensation. Upon such termination, the prohibitions on the use of the content set out above in these Conditions of Use shall remain in force.

 

Should any clause contained in the Terms of Use be declared wholly or partially null and void or ineffective, such nullity or ineffectiveness shall affect only that provision or the part thereof that is null and void or ineffective, with the Terms of Use remaining in force in all other respects, and such provision shall be deemed wholly or partially excluded.
 

The Foundation informs the User that it may report any breach of applicable legislation to the relevant police and judicial authorities and cooperate with them as appropriate, should it detect any such breach or suspect that a criminal offence has been committed.
 

The Foundation’s failure to exercise or enforce any right or provision contained in these Terms of Use shall not constitute a waiver of that right or provision, unless acknowledged and agreed in writing by the Foundation.

 

15. APPLICABLE LAW AND JURISDICTION

 

The relationship between the Foundation and the User shall be governed by the applicable laws of Spain, and any dispute arising in connection therewith shall be submitted to the Courts of Madrid, Spain, the parties expressly and voluntarily waiving any other jurisdiction to which they may otherwise be entitled, unless otherwise required by mandatory law.
 

The Foundation shall take appropriate action in the event of any breach of these Conditions of Use or any improper use of the Website, exercising all civil and criminal remedies available to it under applicable law.
